Terms of Service | AgentVerse

1. Acceptance of Terms

By accessing or using the AgentVerse platform ("Platform"), you agree to these Terms of Service. If you do not agree, do not use the Platform.

2. Description of Service

AgentVerse is a marketplace that allows users to buy, sell, rent and trade artificial intelligence agents. The platform connects AI agent creators and buyers.

3. Registration and Account

You must be at least 18 years old to create an account
Information provided must be truthful and up to date
You are responsible for maintaining the security of your password
One person per account (multiple accounts prohibited)

4. Purchases and Payments

All prices are in USD and include taxes when applicable
Payments are securely processed by Stripe
Refunds are available within 30 days of purchase as per CDC Art. 49 — see Section 12 for full details
The platform charges a 10% fee on each transaction

5. Rentals

Rentals are by the hour, day, or month, as indicated
Access is automatically disabled at the end of the period
Auto-renewal may be enabled by the user
Cancellations are permitted up to the start of the rental period

6. Trades

Trades are agreed upon between users
The platform mediates but does not guarantee the quality of traded agents
Both parties must confirm the trade for it to be finalized
Completed trades cannot be reversed

7. Intellectual Property

Agents available on the platform are the intellectual property of their creators. When you purchase an agent, you receive a license to use it, not the intellectual property. Redistribution, resale, or modification of agents without the creator's authorization is prohibited.

8. Creator Responsibilities

Ensure the agent functions as described
Provide technical support for at least 30 days after sale
Keep the agent updated and compatible
Do not include malware or malicious code
Comply with all applicable laws

9. Prohibited Conduct

The following activities are strictly prohibited on the Platform:

Selling agents that violate third-party copyrights
Manipulating reviews or ratings
Deceiving other users in transactions
Using the platform for money laundering
Violating data protection laws
Prompt injection attacks or attempts to manipulate AI agent behavior
Model extraction attempts or unauthorized access to AI model architectures
Systematic scraping or harvesting of platform data
Reverse engineering AI agents or platform systems
Account sharing or unauthorized access to another user's account
Using automated tools, bots, or scripts without explicit authorization

10. Limitation of Liability

AgentVerse acts as an intermediary marketplace. We are not responsible for:

The quality, accuracy, security, or legality of AI agents provided by creators
Outputs, decisions, or actions taken by AI agents after purchase/rental
Any damages arising from the use or misuse of AI agents
Third-party integrations or data processed by AI agents

AI Agents Disclaimer: AI agents are provided "AS IS" and "AS AVAILABLE". Users assume all risks associated with AI agent usage, including but not limited to: inaccurate outputs, unintended actions, data loss, or security vulnerabilities.

AI agents may produce inaccurate, incomplete, or misleading results
AI agents may take autonomous actions without explicit user instruction
Users are solely responsible for supervising AI agent behavior
No warranty is provided on AI agent performance, accuracy, or reliability
AgentVerse is not liable for any decisions, actions, or omissions of AI agents

Regulatory Compliance: These limitations comply with:

EU AI Act Art. 50 (Transparency): Users are informed that they are interacting with AI systems and that AI-generated content may be produced
CNAI (Lei 14.120/2025): Where applicable, AgentVerse complies with Brazil's National AI Commission regulations on AI system transparency and accountability

Our total liability is limited to the value of the disputed transaction. This limitation applies to the fullest extent permitted by applicable law.

11. AI-Specific Terms

The following terms apply specifically to AI agents available on the Platform:

AI agents are provided "AS IS" and "AS AVAILABLE" without any warranties, express or implied
Users are solely responsible for validating all AI outputs before relying on them
No guarantee is provided regarding the accuracy, completeness, or fitness for purpose of AI agent outputs
Users have the right to request human review of any AI-generated decision that significantly affects them
The Platform will clearly disclose when a user is interacting with an AI system, in compliance with the EU AI Act

AI Transparency Disclosure: In accordance with the EU AI Act Art. 50 and applicable national regulations, AgentVerse ensures that:

Users are informed when they are interacting with an AI system
AI-generated content is clearly labeled as such
Users can request information about how AI decisions affecting them were made
Deepfakes and manipulated AI content are prohibited on the Platform

12. Refund Policy and Right of Withdrawal

AgentVerse is committed to complying with consumer protection laws across all jurisdictions we serve. This section outlines your right to request a refund and the process for doing so.

12.1 Refund Eligibility by Jurisdiction

Brazil (CDC Art. 49): You have 30 calendar days from the date of purchase to withdraw from your purchase for any reason, without the need for justification
Mexico (LFPDPPP): You may cancel within 5 business days of purchase
Argentina (Código Civil y Comercial): You have 10 business days to withdraw
EU (Consumer Rights Directive): You have 14 days to withdraw from digital purchases

12.2 Refund Process

Provide your email address and transaction/session ID
Review and confirm your refund request
Receive confirmation of your refund request via email
Refund is processed to your original payment method within 5-10 business days

12.3 Refund Processing Time

Refund requests are acknowledged within 1 business day
Refunds are processed within 5-10 business days of confirmation
Depending on your bank or card issuer, the refund may take an additional 3-5 business days to appear on your statement

12.4 Exceptions to Refund Eligibility

The following may affect your refund eligibility:

Agents with substantial usage: If an AI agent has been substantially used (e.g., extensive API calls, processing large volumes of data), a partial refund may be offered at AgentVerse's discretion
Digital content after download: If the agent has been downloaded and activated, the refund may be reduced to account for the digital content already consumed
Completed rentals: Rental periods that have fully elapsed are not eligible for refund
Completed trades: Trades that have been confirmed by both parties cannot be reversed

13. Dispute Resolution

Informal Resolution: Before filing any formal dispute, you agree to contact us at legal@agentverse.com and attempt to resolve the dispute informally for a period of at least 30 days.

Mandatory Arbitration: Any dispute arising from or relating to these Terms or your use of the Platform that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) or JAMS, at your choice. The arbitration shall be conducted in English, and the seat of arbitration shall be Serra, Espírito Santo, Brazil, unless otherwise agreed by the parties.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. This class action waiver applies where enforceable by applicable law.

Exceptions: Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations. Data breach claims may also be brought in court where required by applicable law.

Opt-Out Mechanism: You may opt out of the mandatory arbitration provision by sending written notice to legal@agentverse.com within 30 days of first accepting these Terms. Your notice must include your name, account email, and a statement that you wish to opt out of arbitration.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the applicable jurisdiction based on your country of residence:

Brasil: Lei Geral de Proteção de Dados (LGPD) e Código de Defesa do Consumidor (CDC). Foro da comarca de Serra, Espírito Santo.
Estados Unidos: Federal law and applicable state laws, including the California Consumer Privacy Act (CCPA), Virginia Consumer Data Protection Act (VCDPA), and Colorado Privacy Act (CPA).
União Europeia: General Data Protection Regulation (GDPR) and national implementations thereof.

For users in other jurisdictions: You may also bring proceedings in the courts of your country of residence. Nothing in these Terms affects your rights as a consumer under the mandatory consumer protection laws of your jurisdiction.

Class Action Waiver (where enforceable): To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Mandatory Arbitration (where enforceable): Except for disputes subject to the class action waiver above, disputes shall be resolved through binding arbitration as described in Section 13 (Dispute Resolution).

Small Claims Court: Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within that court's jurisdictional limits.

15. Export Controls

The Platform and AI agents available through it are subject to United States export regulations and sanctions laws. You agree to comply with all applicable export control laws and regulations.

You may not access or use the Platform from any country subject to comprehensive U.S. sanctions
You may not use the Platform for any purpose prohibited by U.S. export regulations, including the development, design, manufacture, or production of weapons of mass destruction
You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United States has imposed an embargo
You represent and warrant that you are not listed on any U.S. government list of prohibited or restricted parties, including the OFAC Specially Designated Nationals (SDN) List

AgentVerse complies with the Office of Foreign Assets Control (OFAC) regulations and reserves the right to restrict access to the Platform in any jurisdiction subject to U.S. sanctions.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email and/or prominent notice on the Platform at least 30 days before they take effect.

Material changes will be communicated via email to the address associated with your account
A prominent notice will be displayed on the Platform for at least 30 days prior to the effective date
You have the right to terminate your account without penalty if you disagree with material changes
Account termination requests must be submitted before the effective date of the changes
Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms
